How To Create Your Own LLC

Ready to launch your business? Now, it’s time to become legal. This is just for setting up an LLC in Georgia. Other states can vary.

 


Step 1: Name Your LLC


 

Do some research before starting you LLC. You should figure out what type of business you are starting because you want to create a name that is relevant to your industry.

For example, you would want to name your business “Billy Baseball Cards” if your business is selling ice cream. Potential clients would never find you.

That being said don’t take forever thinking of a name because you can always do business as another name.

For example, people who open up a Burger King don’t name their LLC “Burger King”. That’s already taken so instead they would name their LLC “Billy Family Restaurant” DBA (Doing Business As) Burger King.

Here are a few tips and rules to help you figure the name out:

  •  Don’t Violate The Naming Guidelines
    • Your entity name must contain the words Limited Liability Company or the abbreviation L.L.C. or LLC.
    • Can’t be longer that 80 characters, including spaces.
    • Don’t use restricted words. (You can but can require additional paperwork and a licensed individual like a lawyer as part of the LLC
      • Examples
        • Bank
        • Attorney
        • University
    •  Prohibited Words (Names that would confuse your name with a federal or state agency)
      • Examples
        • FBI
        • Treasury
  • Make Sure the Name is a Available
  • Check to See if URL Domain Name Available
    • This isn’t necessary to determine your name, but it’s a good thing to check if you plan to set up a website for it. You would hate yourself if you set up an LLC and go online and someone already owns your website.

Step 2: Choose A Registered Agent


 

You are required to have a Registered Agent in Georgia for your LLC

Registered Agent – A person or business that agrees to send and receive legal papers on behalf of your LLC. These can be anything lawsuits to your yearly state registrations

Registered Agent Requirements:

  • Must be a resident of Georgia or a corporation with authorization to do business in Georgia.

This can also be you so I wouldn’t too much about this because you can always change it later.

 


Step 3: File the Articles of Organization


 

Now you have to register you LLC with the state of Georgia. You can do this online or by mail. It’s extremely simple to file online.

Step 4: Create an Operating Agreement


 

This is the hardest part about the setup process. This is also the most important and you should take the time to create one.

Luckily, all you need is a verbal agreement in Georgia to be able to register. Which means you can still create your LLC. If you have a partnership a verbal agreement means you should both agree out loud on your operating agreement.

Operating Agreement – is a legal document that is designated for use by a sole proprietor so that they may establish company ownership along with any specific procedures and policies.

Step 5: Obtain an EIN


 

You’re probably wondering what an EIN is…

Think of it as your company’s social security number and you need it to file and pay taxes.

Here’s the legit term:

EIN – The Employer Identification Number (EIN), or Federal Tax Identification Number, is used to identify a business entity.
